Your Company Ltd & Web Hero Limited
Status of engagement
This agreement is entered into on a business-to-business basis between Web Hero Limited (a limited company) and Your Company Ltd. Nothing in this agreement shall be construed as creating a contract of employment, partnership, or agency relationship between the parties.
Web Hero Limited operates as an independent contractor providing services to multiple clients, responsible for its own tax affairs and National Insurance contributions, with full financial risk and autonomy.
Right of substitution: Web Hero Limited may provide a suitably qualified substitute to perform the services, provided they possess the necessary skills. Consent to substitution shall not be unreasonably withheld.
Control and supervision: The client specifies the outcomes and deliverables but does not control the manner, method or means by which the services are performed.
Equipment and premises: Web Hero Limited provides its own equipment, software and tools, working remotely or at its own premises unless site attendance is specifically agreed.

Deliverables & pricing
Payment terms
50% upfront: Payable before the commencement of design work.
50% final payment: Due upon completion and delivery of the final design, within 7 days of the project completion date.
Mutuality of obligation
This agreement covers only the specific project and services outlined herein. There is no obligation on the client to provide further work, nor on Web Hero Limited to accept additional work if offered. On completion, the engagement concludes unless a new separate agreement is entered into.
Changes & third-party access
Your website is built and managed by Web Hero on Claude Code - clean, fast code we host and maintain for you. You don’t get a drag-and-drop editor to learn; instead, changes are made by raising a request with us and we ship them, usually the same day. (Where a project is built on Duda, editor access can be provided on request at no additional charge.)
If changes are made to the site by anyone other than Web Hero - an internal team member, a third-party agency, or any external editor - we can no longer guarantee the design integrity, functionality or SEO performance of the site. This includes layout changes, content edits, image replacements, structural modifications and plugin or widget installations.
Any work required to diagnose or rectify issues arising from changes made outside of Web Hero is treated as ad hoc development, charged at our standard rate of £50 per hour. This clause doesn’t prevent you from making changes or appointing another agency - it simply sets out the boundaries of our responsibility once third-party modifications are introduced.
Ownership and usage rights
Upon receipt of full payment, Web Hero Limited grants the client a non-exclusive, royalty-free licence to use, display and reproduce the final design for the intended purpose outlined in the project proposal.
Web Hero Limited retains the right to showcase the project in its portfolio and promotional materials after the project has been completed and approved by Your Company Ltd.
Client responsibilities
The client agrees to provide all necessary information, materials and feedback required for successful completion. Timely responses and approvals are crucial to the timeline.
Revisions
The client is entitled to the number of design revisions outlined in the project proposal. Additional revisions beyond the agreed limit may incur additional charges.
Termination
Either party may terminate in writing if the other breaches any material obligation. On termination, the client is responsible for payment of all services rendered up to the termination date.
Governing law
This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
