Status of Engagement
This agreement is entered into on a business-to-business basis between WebHero Limited (a limited company) and Your Company Ltd. Nothing in this agreement shall be construed as creating a contract of employment, partnership, or agency relationship between the parties.
WebHero Limited operates as an independent contractor providing services to multiple clients. The client acknowledges that WebHero Limited is responsible for its own tax affairs, National Insurance contributions, and operates its own business with full financial risk and autonomy.
Right of Substitution: WebHero Limited reserves the right to provide a suitably qualified substitute to perform the services outlined in this agreement, provided that any substitute possesses the necessary skills and experience. The client's consent to substitution shall not be unreasonably withheld.
Control and Supervision: The client will specify the outcomes and deliverables required but will not control the manner, method, or means by which WebHero Limited performs the services. WebHero Limited retains full discretion over how the work is executed, including working hours, location, and processes used.
Equipment and Premises: WebHero Limited will provide its own equipment, software, and tools necessary to deliver the services. Work will be performed at WebHero Limited's own premises or remotely unless site attendance is specifically required and agreed for particular tasks.

Deliverables & Pricing
Payment Terms
50% Upfront Payment: The client shall make an upfront payment of 50% of the total project cost before the commencement of the design work.
50% Final Payment: The remaining 50% of the total project cost is due upon completion and delivery of the final design. The final payment is to be made within 7 days from the project completion date.

Pay Monthly Terms
Credit Assessment: This payment arrangement is subject to a successful business credit assessment conducted through CreditSafe. This is a soft check that does not affect your credit score. If the assessment is unsuccessful, the Standard Payment option (50% upfront, 50% on completion) will apply.
Initial Setup: A one-time deposit of £500 is required before work commences. This amount is deducted from the total project cost.
Monthly Payments: Following the initial deposit, the remaining project balance is spread over the agreed payment term ( 12 months). Monthly payments include both the website cost instalment and the ongoing maintenance fee (£100/month).
Contract Length: The payment contract runs for the agreed term. Upon completion of the payment term, only the monthly maintenance fee of £100 continues for ongoing hosting, SSL, privacy compliance, and DIY editor access.
Early Termination: Should you wish to cancel the agreement before the payment term is complete, the remaining balance of the website cost becomes due immediately. The website will remain live and under your control once the balance is settled.
Ownership: Full ownership of the website design and content transfers to the client upon completion of all payments. During the payment term, WebHero Limited retains certain rights as outlined in the Ownership section.

Mutuality of Obligation
This agreement covers only the specific project and services outlined herein. There is no obligation on the client to provide further work beyond this agreement, nor is there any obligation on WebHero Limited to accept additional work if offered.
Upon completion of the services described in this agreement, the engagement will conclude unless a new separate agreement is entered into by both parties for any subsequent projects or services.
Retained Support Terms
The Retained Support package of £200 per month provides the client with 5 pre-paid hours of support and development work each month. These hours are provided at a discounted rate compared to our standard ad hoc rate of £50 per hour.
The Retained Support package of £375 per month provides the client with 10 pre-paid hours of support and development work each month. These hours are provided at a discounted rate compared to our standard ad hoc rate of £50 per hour.
The Retained Support package of £700 per month provides the client with 20 pre-paid hours of support and development work each month. These hours are provided at a discounted rate compared to our standard ad hoc rate of £50 per hour.
For requirements exceeding 20 hours per month, WebHero Limited offers bespoke Retained Support packages. Pricing and allocation will be discussed and agreed upon based on your specific requirements and anticipated workload.
Scope of Work: Retained hours may be used for a variety of services as agreed between both parties, including but not limited to:
- New page content and blog posts
- Content optimisation and updates
- SEO improvements and monitoring
- Website development and feature implementation
- Technical maintenance and bug fixes
- Performance improvements
- Strategic consultation and planning
Usage Agreement: The specific use of retained hours may be pre-agreed (for example, a set number of blog posts or regular updates) or kept flexible for use as needed. Either arrangement will be documented at the start of the engagement.
Rollover Policy: Unused hours may roll over to the following month. However, hours do not accumulate indefinitely. A maximum of one month's allocation may be carried forward at any time. For example, if your package includes 5 hours per month and you use none in January, you would have 10 hours available in February, but any unused hours from January would not carry forward to March.
Billing: Retained Support is billed monthly in advance. Work is tracked by the hour (not by the minute), meaning any task commenced within an hour is billed as one full hour.
Termination: Either party may terminate the Retained Support arrangement with 30 days' written notice. No refunds are provided for unused hours in the final month.
Ad Hoc Support Terms
Ad hoc support is available for discrete tasks requested by the client outside the scope of the main project deliverables or any retained services. Each request for ad hoc work constitutes a separate engagement and must be explicitly agreed in advance, including scope and estimated cost.
Hourly Rate: Ad hoc work is charged at £50 per hour. Work is tracked by the hour (not by the minute), meaning any task commenced within an hour is billed as one full hour. However, if a task is estimated to take a day but is completed in three hours, only three hours will be charged.
There is no obligation on the client to request ad hoc services, nor any obligation on WebHero Limited to provide them. Each ad hoc engagement is treated as an independent transaction with its own commercial terms.
To ensure transparency and avoid billing disputes, a maximum of ten hours of ad hoc work will be completed per month unless further authorisation is granted. Any additional time required will be requested by WebHero Limited with a clear explanation of the proposed work.
Ad hoc work will be invoiced on the 1st of each month, with payment due within 14 days.
Ownership and Usage Rights
Upon receipt of full payment, WebHero Limited grants the client a non-exclusive, royalty-free license to use, display, and reproduce the final UI/UX design for the intended purpose outlined in the project proposal.
Upon completion of all payments under the Pay Monthly arrangement, WebHero Limited grants the client full ownership and a non-exclusive, royalty-free license to use, display, and reproduce the final UI/UX design for the intended purpose outlined in the project proposal. During the payment term, the client has full use of the website but WebHero Limited retains certain intellectual property rights until the final payment is made.
WebHero Limited retains the right to showcase the project in its portfolio, promotional materials, and online platforms AFTER the project has been completed and it has been approved by Your Company Ltd.
Client Responsibilities
The client agrees to provide all necessary information, materials, and feedback required for the successful completion of the UI/UX design project.
Timely responses and approvals from the client are crucial to adhere to the project timeline.
Revisions
The client is entitled to a specified number of design revisions as outlined in the project proposal. Additional revisions beyond the agreed-upon limit may incur additional charges.
Termination
Either party may terminate the contract in writing if the other party breaches any material obligation. In the event of termination, the client is responsible for payment of all services rendered up to the termination date.
For Pay Monthly arrangements, early termination requires immediate settlement of the remaining website balance. The ongoing maintenance services may be cancelled separately with 30 days' notice.
Portfolio and Promotion
WebHero Limited retains the right to showcase the project in its portfolio, AFTER the project has been completed and it has been approved by Your Company Ltd.
Final Deliverables
The final UI/UX design will be delivered in a mutually agreed-upon format. Any additional deliverables beyond the project scope may incur additional charges.
Client Approval
The client is responsible for final approval of the UI/UX design. Once approval has been given, any further changes may be subject to additional charges at our standard ad hoc rate of £50 per hour, depending on the nature and scope of the request.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of United Kingdom.
